Shareholders activism is no longer a typical American phenomenon. Many European companies have become familiar with shareholder actions too. Shareholders are making use of their rights and act against management deficiencies. It raises a number of questions. First, who are the shareholders that make use of the rights to protect their interests? Second, how can shareholders voice their dissatisfaction with the board of directors and management? Third, how can a company address these shareholders’ concerns?
Christoph Van der Elst PhD, is professor of Business Law and Economics at Tilburg University (The Netherlands) and at Ghent University (Belgium). In Tilburg he is the coordinator of the Dutch master programme Business Law. He holds both a master in law and a master in economics and has a PhD. in economics (Ghent University, Belgium). His research interests are corporate governance, (economic analysis of) company law and corporate risk management. His work has been published in numerous renownded academic and professional journals.
